• "User" means any person who accesses or uses the Website.

3. Use of the Website

The Website is provided for general information purposes about Linqit Solutions, our partners, and the Services we offer. You may access and view the Content for your personal, internal, or non-commercial business use, subject to these Terms.

You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Website by any third party.

Linqit reserves the right, at any time and without notice, to modify, suspend, or discontinue any part of the Website, including the availability of any feature, content, or functionality.

4. Linqit Services & Engagements

The Website describes the Services offered by Linqit. Nothing on the Website constitutes a binding offer, quotation, contractual commitment, or professional advice. The delivery of any Service is subject to a separate written Service Agreement between Linqit and the client.

Where the Website provides descriptions of solutions, methodologies, benefits, timelines, or outcomes, these are illustrative only and do not constitute representations or warranties as to the results that may be achieved in any specific engagement.

Quotations, proposals, and recommendations issued by Linqit are valid only where provided in writing and signed by an authorised representative of Linqit.

5. Intellectual Property

6. Third-Party Solutions & Brand References

Linqit is an authorised partner and reseller for a number of third-party software vendors. References on the Website to SYSPRO, Flowgear, Translution, Zap Data Hub, Laserfiche, Microsoft, and other third-party brands are made for the purpose of identifying the solutions we deliver and support.

All third-party trade marks, product names, logos, and brand assets are the property of their respective owners. Their use on the Website does not imply any endorsement, sponsorship, or affiliation other than the partner relationships Linqit maintains as a certified partner.

The features, pricing, licensing, and availability of any third-party solution are controlled by the relevant vendor and may change without notice. Linqit does not guarantee any specific pricing, feature, or commercial outcome from any third-party vendor.

7. Acceptable Use

You agree not to:

• Use the Website in any way that violates any applicable law, regulation, or third-party right
• Attempt to gain unauthorised access to the Website, its underlying infrastructure, or any related systems or networks
• Introduce viruses, malware, trojans, worms, or any other malicious code into the Website

To the maximum extent permitted by applicable law, Linqit Solutions (Pty) Ltd expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

To the maximum extent permitted by applicable law:

1. Linqit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, arising out of or in connection with your access to or use of the Website, regardless of the theory of liability (contract, delict, strict liability, or otherwise) and even if Linqit has been advised of the possibility of such damages.
2. Linqit shall not be liable for any damages, losses, or costs arising from your reliance on any Content, including descriptions of Services, partner solutions, or industry information published on the Website.
3. Linqit shall not be liable for any loss or damage arising from the temporary unavailability of the Website, scheduled or unscheduled maintenance, infrastructure issues, or circumstances beyond our reasonable control.
4. Linqit's total aggregate liability for any claim arising out of or in connection with your use of the Website is limited to ZAR 1,000.00 (one thousand South African Rand). Claims relating to a Service Agreement are governed by the liability provisions of that agreement, not these Terms.

Nothing in these Terms is intended to exclude or limit any liability that cannot be excluded or limited under applicable law, including the Consumer Protection Act, 2008 where it applies.

10. Indemnification

You agree to indemnify, defend, and hold harmless Linqit Solutions (Pty) Ltd, its directors, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your access to or use of the Website
• Your breach of these Terms
• Your violation of any law or any third-party right, including any intellectual property or privacy right
• Any false, misleading, or fraudulent information submitted by you through the Website
• Any claim by a third party arising from your use of the Website or its Content

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa. The parties agree to submit to the jurisdiction of the High Court of South Africa, Gauteng Division, Pretoria.

Before instituting any legal proceedings, the parties agree to first attempt to resolve any dispute through good-faith negotiation for a period of not less than 30 (thirty) days.
